1. Provider and scope
These Terms and Conditions (the "Terms") govern the free demo, the subscription and the use of MAXORI Booking Planner (the "Service"), provided by Massimiliano Gallori, trading as MAXORI Studio ("MAXORI", "we"). The full provider details (address and VAT ID / NIF) are given in the Legal notice.
The Service is intended for businesses and professionals that manage accommodation (the "Customer"). By starting the demo or buying a subscription, you accept these Terms on behalf of the business you represent. If you act as a consumer, the mandatory consumer-protection rules apply and nothing in these Terms limits them.
2. Definitions
- "Account": the Customer's Planner, with its owner and the users the owner invites.
- "Users": the people who access the Account (owner, manager, reception or basic role).
- "Customer Data": all data entered in the Account by the Customer or its Users, including Guest Data.
- "Guest Data": personal data of the Customer's guests entered in the Service.
- "Subscription": the paid right to use the Service for a billing period.
3. The Service
The Service is web software for booking management, accessed with a browser at planner.maxoristudio.com. It lets the Customer manage properties and rooms, a booking calendar, reservations, payments received and refunds (recorded manually), expenses, reports and the people who have access to the Account.
MAXORI provides software only. MAXORI does not rent or operate accommodation, does not take bookings on behalf of guests, is not a party to the contracts between the Customer and its guests and does not process guest payments. The Service is not a channel manager and does not synchronise with booking portals.
Reports and figures in the Service are management tools based on the data entered by the Customer; they are not accounting, tax or legal advice. The Customer remains responsible for its own legal, tax and accounting obligations.
We may improve and change the Service. We inform the Customer in advance of any change that materially reduces the functions of the Service during a paid period.
4. Account and users
The Account is created by MAXORI after a demo request or a purchase: the owner receives an email with an activation link and chooses a password. There is no free sign-up.
The owner can invite Users and assign them a role within the limits of the Service. The Customer is responsible for its Users, for keeping credentials confidential and for the activity carried out in its Account, and must inform us without delay of any unauthorised access.
5. Free demo
The free demo gives access to the real Service for 14 days from activation, with up to 5 properties. No payment card is required. One free demo is allowed per person or business; we may refuse a demo in case of abuse.
At the end of the demo, access stops until a Subscription is bought. If the Customer subscribes with the same Account, the data entered during the demo is kept.
6. Plans, prices and taxes
Plans differ only by the number of properties or units that can be managed (Starter, Growth, Pro and Business, up to 30; above 30, a Custom plan agreed with MAXORI). The billing period is quarterly (3 months) or annual.
Prices are in euros and exclude VAT. The applicable price is the one shown on our website and on the payment page when the order is placed. Taxes are calculated on the payment page from the Customer's billing details. For businesses established in another EU country with a VAT number confirmed by the EU VIES register, the reverse-charge mechanism applies.
Invoices are issued electronically and are available in the Planner, on the "Subscription & Invoices" page of the account owner.
The Service does not allow adding properties beyond the limit of the plan. After a change to a smaller plan, no property is deleted, but new ones cannot be added until the Account is within the limit.
7. Payment and automatic renewal
The Subscription is paid in advance for each billing period through Stripe. It renews automatically at the end of each period for a period of the same length, unless automatic renewal is cancelled before the end of the current period.
We inform the Customer of any price change at least 30 days before the renewal to which it applies; the Customer can cancel the renewal before then.
If a renewal payment fails, Stripe retries it and access is kept for 7 days from the first failure. If the payment is still not made, access is suspended until payment. Customer Data is not deleted because of a suspension.
8. Plan changes
A change to a bigger plan applies immediately: the difference for the rest of the current period is charged at once, and the new plan applies once the payment succeeds. A change to a smaller plan applies from the next renewal.
9. Cancellation and end of the Subscription
The account owner can cancel automatic renewal at any time in the Planner. The Subscription stays active until the end of the period already paid, and can be resumed until then. Periods already started are not refunded, except where the law provides otherwise.
When the Subscription ends, access to the Service stops. Customer Data is kept so that the Customer can reactivate the Account, for the period stated in our Privacy Policy, and then deleted. Before deletion, the Customer can ask for the deletion of its data or for a copy of it (see "Customer data and data processing").
MAXORI may suspend or terminate the Account in case of non-payment, serious or repeated breach of these Terms, or unlawful or abusive use, giving notice whenever possible.
10. Acceptable use
The Customer must use the Service lawfully and in line with these Terms. In particular, the Customer must not: attempt to access other customers' data or bypass security measures; overload or disrupt the Service; copy, decompile or resell the Service without our written agreement; or use it to store unlawful content.
The Customer is responsible for the lawfulness of the Customer Data, including informing its guests and having a legal basis for processing their data.
11. Customer data and data processing
Roles. The Customer owns the Customer Data. For Guest Data and for the data of Users entered in the Account, the Customer is the controller and MAXORI is the processor (art. 28 GDPR). For the data needed to manage the relationship with the Customer (account, billing, support), MAXORI is the controller, as described in the Privacy Policy.
Subject and duration. MAXORI hosts, stores, displays, backs up and otherwise processes Customer Data only to provide the Service, for the duration of the relationship and the retention period that follows it.
Data and data subjects. Guests of the Customer (such as name, contact details, nationality, stay dates, rooms, booking channel, amounts, payments recorded and notes) and Users (name, email, role, activity). The Service is not designed for special categories of data; the Customer should not enter them.
MAXORI undertakes to:
- process Customer Data only on the Customer's documented instructions, which are these Terms and the Customer's use of the Service, and inform the Customer if an instruction infringes data-protection law;
- ensure that the people authorised to process Customer Data are bound by confidentiality;
- apply appropriate security measures (art. 32 GDPR), including encrypted connections, separation of each customer's data, access by role, a history of changes and encrypted backups;
- use sub-processors only under a written agreement with equivalent obligations. The Customer gives general authorisation for the current sub-processors: Supabase (database, authentication and server functions, hosted in the EU), Vercel (application hosting), Resend (account emails) and, for the Customer's billing data only, Stripe. We inform the Customer in advance of any new sub-processor; the Customer may object and, if no solution is found, terminate the Subscription;
- transfer Customer Data outside the European Economic Area only with the safeguards required by the GDPR;
- assist the Customer, taking into account the nature of the processing, in answering requests from data subjects and in meeting its obligations on security, data breaches and impact assessments;
- notify the Customer without undue delay after becoming aware of a personal data breach affecting Customer Data;
- at the end of the Service, at the Customer's choice, delete the Customer Data or provide a copy of it in a commonly used format, unless the law requires it to be kept; copies in backups are deleted when the backups expire;
- make available the information needed to demonstrate compliance with these obligations and allow audits by the Customer or an auditor it appoints, with reasonable notice and confidentiality.
12. Availability, support and backups
We aim to keep the Service available at all times, but we do not guarantee uninterrupted availability: maintenance, updates and events outside our control may cause interruptions. When possible, we announce planned maintenance in advance.
Support is provided by email at info@maxoristudio.com and through the chat on our website.
The Planner database is backed up for disaster recovery. Backups are a security measure of MAXORI, not a service for restoring individual changes on request.
13. Intellectual property
The Service, its software, design and content are the property of MAXORI or its licensors. During the Subscription (or the demo), MAXORI grants the Customer a non-exclusive, non-transferable right to use the Service for its own business, in accordance with these Terms. The Customer keeps all rights to the Customer Data.
14. Liability
MAXORI is liable for damages it causes through wilful misconduct or gross negligence, and in the other cases in which the law does not allow liability to be limited.
Otherwise, to the extent permitted by law: MAXORI is not liable for indirect damages, loss of profit, loss of business or loss of data that the Customer could have avoided; and MAXORI's total liability under these Terms is limited to the amounts paid by the Customer for the Service in the 12 months before the event giving rise to the liability.
MAXORI is not liable for the contracts between the Customer and its guests, for the data entered by the Customer or for decisions taken on the basis of the reports of the Service.
15. Changes to these Terms
We may change these Terms. We inform Customers of material changes at least 30 days in advance by email or in the Planner; the changes apply from the next renewal. If the Customer does not agree, it can cancel automatic renewal before then.
16. Governing law and jurisdiction
These Terms are governed by Spanish law. Any dispute is submitted to the courts of the place of MAXORI's address, unless mandatory law provides otherwise.
These Terms are available in several languages. In case of discrepancy, the Spanish version prevails.
